GeneLink Responds to Lawsuit

Orlando, Florida – August 18, 2008 – On August 18, 2008, GeneLink, Inc. (OTCBB: GNLK.OB), a leading consumer genomics biotech company, filed its Quarterly Report on Form 10-Q for the Period Ended June 30, 2008 (the "Report"). The Report was delayed to allow the Company to review the complaint filed in the Philadelphia Court of Common Pleas, DePhillipo, et.al. v. GeneLink t/a GeneLink Biosciences, Inc., et. al., Philadelphia County Court of Common Pleas, August Term 2008 No. 1128, by John DePhillipo and Maria DePhillipo (the "DePhillipos"), against the Company and certain of its officers, directors and advisors.  Mr. DePhillipo is the former CEO and President of GeneLink and was terminated by the Board of Directors in 2005 for cause. 

This is the third action filed in three different courts by Mr. DePhillipo against the Company and/or its officers and directors relating to his termination. In November, 2005, Mr. DePhillipo sued an officer and director of the Company for approximately $10 million, alleging wrongful termination and breach of contract. His suit was dismissed with prejudice in March 2006. Mr. DePhillipo also sued the Company in 2005 for in excess of $1.5 million, again alleging wrongful termination and breach of contract. In addition to defending that suit vigorously, the Company asserted counterclaims against Mr. DePhillipo for breach of fiduciary duty, conversion, negligent misrepresentation, unjust enrichment and fraud.  Mr. DePhillipo’s claims and the Company’s counterclaims were settled earlier this year, and all actions under the settlement were completed in June 2008. Under the terms of the settlement, the parties exchanged releases, Mr. DePhillipo and certain members of his family sold their remaining shares of Company stock to the Company for $0.06 per share, and the Company also paid Mr. DePhillipo $220,000. This litigation and settlement is more fully described in the Report.

In his third complaint, Mr. DePhillipo now alleges that he and his wife suffered over $20 million in damages because the Company and others misled him into entering into the settlement described above and selling his stock to the company at an inappropriately low price. This complaint is more fully described in the Report. The Company and its Board of Directors deny the claims set forth in Mr. DePhillipo’s most recent complaint, intend to vigorously defend against those claims, and are considering taking additional appropriate actions.

GeneLink reluctantly agreed to settle the second action and to purchase the DePhillipos’ shares so that it could move forward instead of fighting about the past. We are therefore very disappointed that Mr. DePhillipo has again chosen to devote his time to suing the Company. GeneLink intends to vigorously defend against this latest suit and to pursue all appropriate measures against the DePhillipos for asserting these meritless claims.
